You have to be a little more specific than "2 Holes". Does the pan feel solid or is it flexing around in your hand while you hold it. If the pan feels solid, then re-use it. Try and clean all the rust off it and use one of those rust neutralizer products on it and then primer and spray paint it really well. If you are worried about the 2 holes, have someone weld in some patches. You won't see the patches with the foam and seat cover on and the seat on the fenders. You just want to make sure the pan is sturdy and won't fall apart the next time you sit on it. And you want to try and stop it from rusting any further and coat it as well as you can to help preserve it as long as possible. My yt 175 seat pan had a crack in each side of the pan that had to be welded up. I don't know how long the repair will last, but I've cleaned the pan up the best that I could and primed and painted the pan with some really heavy coats to try and help it as much as I could.
